The ownership and operation right of services and content provided by BaliGolf are the property of Guangzhou BaiGolf Meiyi Information Technology Co., Ltd. (hereinafter referred to as "BaiGolf"). If a user visit, reserve or use our products or services (collectively, the "Services") through website, mobile application or software provided by BaiGolf, it means that he accepts these service Agreement as a user. Please read carefully below, if the user does not agree to the terms of this service, users can immediately refuse services provided by BaiGolf.
1.The Agreement includes Agreement text, individual service Agreements of BaiGolf sub-channels and other rules published or may be issued in the future by BaiGolf, including but not limited to privacy policies, disclaimers, intellectual property declarations, rights notices, booking description of tourism holiday and BaiGolf personal account Agreement etc. ("Other Terms"). Unless otherwise expressly stated, any service provided by BaiGolf is governed by this Agreement.
2.If BaiGolf provides users with services based on the Internet and mobile networks after the formulation, modification of this Agreement and / or rules, the notification shall be published on this page and the corresponding page, and the user should periodically visit the page and other relevant page to get to know the latest Agreement. The Agreements and rules immediately and automatically take effect once they are released on this page and related pages.If users continue to use BaiGolf service, it means that the user accepts the revised Agreements and rules.
3.A user complete the registration process by clicking on "Agree" button, meaning the user explicitly be aware of these facts, and makes an Agreement with BaiGolf to accept all the terms of service.
4. After registration, you will get a member ID and password. Users should keep the account and password carefully, and be liable for all activities and events done by the account. If your account and password are illegal used by others because of hacking or negligence custody, BaiGolf does not assume any responsibility. If users find any illegal use of member accounts or security vulnerabilities, please immediately contact us.
1.Taking into account of the importance of BaiGolf membership service, users agree:
1）Providing personal information timely, accurately and completely.
2）Updating registration information, conforming to the requirement of timely, detailed and accurate.
All the original information will be used as registration data. If the information provided is not accurate, BaiGolf keep the right to stop user using BaiGolf services. When Users enjoy BaiGolf membership services, they agree to accept all kinds of information services provided by BaiGolf membership services.
2.As respecting user\'s privacy is a basic policy of BaiGolf, BaiGolf will not open, edit or disclose the user\'s information and non-disclosure contents stored in BaiGolf Membership Services. Except for the followings:
1） Users authorize BaiGolf to disclose such information to third parties.
2）The relevant law and procedures require BaiGolf to provide user\'s information.
3） BaiGolf thinks that disclosing the information is necessary on the basis of integrity.
1. When users are using BaiGolf service, they must comply with the provisions of relevant laws and regulations of the People\'s Republic of China. They also should disagree to use the service for any illegal or improper activity, including but not limited to the following acts:
1.1uploading, showing, pasting, and spreading etc. the following information:
1）Violating the basic principles stipulated in the Constitution;
2）Damaging national security, revealing national secrets, subverting the regime or destructing national unity;
3）Damaging national glory and interests;
4）Inciting to ethnic hatred, ethnic discrimination and undermining national unity;
5）Violating the state religion policies or propagating cult and feudal superstition;
6）Spreading rumors, disturbing social order or undermining social stability;
7）Spreading obscenity, pornography, gambling, violence, homicide, terror or instigating crimes;
8）Insulting or slandering others or infringing the legitimate rights of others;
9）Containing false, harmful, threatening, infringement of privacy, harassment, abuse, defamatory, vulgar, obscene, or other morally objectionable contents;
10）Containing any other content restricted or prohibited by Chinese laws, regulations, rules, and norms with legal effect.
1.2using network services system for any unlawful purpose.
1.3applying BaiGolf service to the following activities:
1）Without permission, entering into computer information network or using computer information network resources; or deleting, modifying or increasing computer information network functions; or deleting, modifying or increasing the data and applications stored, processed or transferred in computer information network; intentionally spreading computer viruses and other destructive procedures; and other dangerous behaviors to computer information network security.
2）Commercially using any data from the site of BaiGolf, including but not limited to reproducing, disseminating any materials shown on BaiGolf.com without the prior written consent of BaiGolf.
3） Attempting to use any device, software or procedure to interfere with the normal operation of BaiGolf, or with transactions and activities on BaiGolf.com or mobile application software, or taking any action that will lead to unreasonably large data imposed on network devices of BaiGolf.
4）Unfair competition acts in violation of the principle of good faith, or behaviors that disturb the transaction order such as malicious orders or false transactions.
5）Other acts unrelated to online transactions.
2. As for any claim, demand, or damage proposed by any third party because of user\'s violation of the terms of service, including reasonable attorney fees, user agrees to indemnify BaiGolf and cooperative companies to free from damage. At the same time, BaiGolf has the right to take measures including but not limited to delete contents published by users, suspend license, terminate service, restrict the use, recycle BaiGolf account, and call to legal liability according to users\' behaviors. BaiGolf does not assume any responsibility if BaiGolf\'s reasonable measures cause any loss to the user. BaiGolf has the right to withdraw account if the account is maliciously registered or it is used in behaviors that violate this Agreement such illegal activities, trouble, harassment, deceiving other users etc. Meanwhile, BaiGolf can assist the judiciary with the investigation it requests.
3.The user shall bear legal responsibility for their behaviors when using BaiGolf network service, including but not limited to: compensation for those who have been harmed and compensation for BaiGolf if it assumed the administrative penalty or infringement liability for damages caused by user\'s behavior.
1.The content of BaiGolf services is provided according to actual situation. BaiGolf has the final power of interpretation to its services.
2.BaiGolf provides network services to their users on BaiGolf.com. The equipments related to network services (such as personal computers, cell phones, and other devices related to the access to the internet or mobile network) and the cost needed (telephone charges and internet access fees for linking internet and mobile phone charges for the use of the mobile network) are all borne by the user.
3.BaiGolf service, involved in Internet and mobile communications, may be affected by unstable factors in every step. Therefore users must independently bear the risks of interruption, cancel or termination of services because of reasons that can\'t be predicted or controlled by BaiGolf such as force majeure, computer viruses or hacker attacks, system instability, user location, user\'s power off, GSM network, the Internet and communication lines etc, and BaiGolf takes no guarantee to the timeliness, security and accuracy of this services.
4. BaiGolf need to repair or maintain network services platform or related equipments regularly or irregularly. If network services (including charged network service) are cut down in a reasonable time as a result of such circumstances, BaiGolf don\'t need to bear any responsibility. BaiGolf keep the right that it can suspend all or part of the network services without prior notice for the purpose of maintenance, upgrade or others.
5.Due to the specificity of network services, BaiGolf reserves the right to modify, suspend or terminate some or all of the network services without informing the user, and also don\'t need to bear any responsibility for users or any third party.
6.If the following circumstances happen, BaiGolf reserves the right to suspend or terminate network services under this Agreement to users, and shall not be liable to users or any third party.
1）Personal information provided by users is untrue.
2）Users violate rules of this Agreement or fail to perform their obligations.
In addition, users may notify BaiGolf at any time to terminate membership services. After the termination of membership services, related rights are simultaneously terminated and BaiGolf will no longer bear any responsibility for this member.
1.BaiGolf exclusive rights
Except for the information belong to partners and third parties, BaiGolf own all content of the network services, including but not limited to individual or combined copyrights of text, pictures, graphics, tables, animations, programs, software, audio and video etc. Any content authorized to view, copy, print, and distribute must meet the following conditions:
1） All the information and images aim to obtain information;
2）All the information and images are not for commercial purposes;
3）All the information, images or any other part thereof must include this copyright notice.
Without BaiGolf permission, no person will be allowed to illegally copy, distribute, display, image, upload, download; otherwise, BaiGolf will be investigated for legal liability.
BaiGolf has complete intellectual property rights of the self-developed software for network services, including but not limited to wireless client application. BaiGolf hereby grants the users a non-exclusive, non-transferable and revocable personal right to use this software through a cell phone or computer with ownership or right to use. It can only be used for non-commercial use for legitimate purposes, and any user must not violate the followings about this software:
1） Carrying out reverse project, decompiling, disassembling, or taking other methods to discover its original coding, and implementing acts to infringe other intellectual property rights such as copyright;
2）Transferring software to a third party in a way of renting, lease, sell, sublicense, assign or otherwise, or using this software to provide similar service for any third party;
3) Any copying act of the software;
3）Any copying act of the software;
4）Interfering with security functions of the software by removing, avoiding, destructing, damaging it or otherwise;
5）Cancelling the declaration or notice on the rights of the software in an improper way;
6）Other acts in violation of the law.
BaiGolf has the right to take regeneration measures such as revisions, extensions, and upgrades of the software regularly or irregularly without noticing the user in advance, but the user has the right to choose whether he use the updated software or not.
The following text, graphics and BaiGolf service LOGO etc. are all registered trademarks and trade names protected by law of BaiGolf and its affiliates; any form of unauthorized use will constitute an infringement. They will be held responsible for it according to the law:
“baigolf.com”，“Meiyi BaiGolf”，“BaiGolf Golf”，“mybggolf”等。
2. Ownership of Intellectual Property
User should be responsible for the authenticity and legitimacy of the content uploaded to public viewing area through BaiGolf website, BaiGolf mobile applications and software. They also must guarantee that they have a complete and flawless ownership and intellectual property of the content, or has a complete authorization without any infringement of the legal rights of a third party (including but not limited to the rights of copyright, image rights, trademarks, patents, business name rights, trade name rights, trade secrets, personal privacy, contractual rights etc.) BaiGolf does not assume any responsibility if damages and related consequences are caused to BaiGolf or any third party by users in a way of uploading or publishing such content. It is borne entirely by the user; and BaiGolf is obligated to help third parties, the judiciary or administrative organ obtain evidence, and to disclose user\'s registration information in accordance with the law and the requirement of judicial authorities. As for any form of text, images, information and content that users published when visiting BaiGolf and its affiliated websites through Internet or a mobile terminal device:
1）User hereby agrees to transfer property rights in a work, including but not limited to: the right of reproduction, publishing right, right of hire, exhibition rights, performance rights, theatrical rights, broadcasting rights, information network transmission right, filming rights, adaptation rights, translation rights, the right of compilation, the right to create derivative works and other transferable rights except for rights that must be enjoyed by the copyright owner, to BaiGolf and its affiliates for free.
2）User hereby agrees and grants BaiGolf and its affiliates exclusive, worldwide, perpetual, and free rights of use (and have the right to sublicense at multiple levels).
3）User hereby agrees and grants BaiGolf and its affiliates the right (in whole or in part) to use, reproduce, modify, adapt, publish, translate, distribute, perform and display user\'s all information and data (including but not limited to registration information, transaction data and all other information shown in BaiGolf platform) or their derivative works, and to add the above information into BaiGolf\'s works in any form that is known now or will be developed later, or by media or technology.
4）The user agrees and grants BaiGolf to separately file a suit to any subject because of infringement and get a full compensation.
5） The user have to ensure that no information published on this site will be distributed or licensed to other sites (and the media) in any form; at the same time, the user should commit to coordinate any legitimate rights behavior carried out by BaiGolf for the exclusivity of the information published by users.
6）This Agreement is a kind of written Agreement in accordance with Article 25 of Copyright Law, which affects on any work published on BaiGolf with the protection of copyright law, regardless of whether the content is published before the signing of the Agreement or after the signing of that.
All the rights of any software used to provide network services by BaiGolf (including but not limited to any text, graphics, audio, video, data and supporting information of the software,) belong to the copyright owner of the software. Without the consent of the copyright owner, anyone mustn\'t carry out software reverse engineering, decompile, or disassemble.
If the user view, copy, print, and distribute contents uploaded by other users of BaiGolf, he should ensure that it is used only for the purpose of personal enjoyment, not for commercial purposes, and shall not infringe the legitimate rights and interests of right holders and that of BaiGolf.
1.BaiGolf shall not be liable for any direct, indirect, incidental, special and consequential damages due to improper or illegal use of services, online transactions, and variation of information transfer.
2.BaiGolf does not assume responsibility for infringement to others\' rights (including intellectual property) caused by any threatening, obscene, defamatory, offensive or illegal content or conduct; and is not liable to any content sent by any third party though BaiGolf services or contained in the service.
3.The user expressly accepts the risk existed in BaiGolf services and takes all the consequences by himself when use BaiGolf Internet services.
4.BaiGolf does not assume any responsibility for network service interruption or other defects caused by force majeure or causes beyond the control of BaiGolf, but BaiGolf will try to reduce the losses and impact of the user.
5.BaiGolf doesn\'t provide any type of warranties to its network services, including but not limited to:
1)Network services completely meet user\'s requirements;
2)Network service will not be interrupted;
3)Timeliness, security, accuracy network services.
But BaiGolf does not make any restriction to a specific purpose without any violation of the provisions.
1.The settlements of the formation, implementation, explanation and dispute of this Agreement should apply the law of People\'s Republic of China.
2. If the two parties have any dispute on the contents or the implementation of this Agreement, they should friendly negotiate to settle it; once negotiation fails, either of them may bring a lawsuit to the local People\'s Court where Guangzhou Bai Yi Information Technology Co., Ltd. locates.
3.That BaiGolf does not exercise or enforce any right or provision of the service Agreement does not constitute a waiver of the rights.
4. If any provision of this Agreement is totally or partially invalid or unenforceable caused by whatever reason, the remaining provisions shall remain valid and binding.
